Corporation Filing Fees The fee for filing Articles of Incorporation is $100. While incorporators need not name initial directors in the Articles of Incorporation, if initial directors are named, all initial directors must sign and acknowledge the articles.
Corporation Name Reservation Information and Fees California incorporators may pay a $10 fee to reserve a name. The name reservation remains effective for 60 days.
Incorporation Forms
Periodic Corporation Reporting Requirements California corporations and registered corporations must file a Statement of Information (Form SI-200C) within 90 days of organization along with a fee of $20. The Statement of Information must be filed biennially thereafter. The Statement of Information must be accompanied by a $5 disclosure fee.
Corporation Tax Forms
Corporate Tax Summary California corporations and foreign corporations doing business in California are required to pay a minimum $800 annual Franchise Tax due within three months of the close of the accounting year, but see above under ‘Corporation Filing Fees‘ for first and second year exemptions. C Corporations pay 8.84 percent of income and S corporations pay 1.5 percent of the corporation’s income.
“S” Corporation Information California requires the filing of Form FTP3560 (S Corporation Election or Termination/Revocation) to qualify as an S corporation. S corporations pay the $800 minimum Franchise Tax, OR 1.5 percent of income.
