LLC Filing Fees | To organize, an LLC must file Articles of Organization and submit a $50 filing fee. Foreign LLCs must file an Application for Certificate of Authority to Transact Business in Michigan accompanied by a filing fee of $50. |
LLC Name Reservation Information and Fees | Michigan organizers may reserve an LLC name by filing an Application for Reservation of name with the Division accompanied by the $25 filing fee. The reservation is effective for six months. |

Periodic LLC Reporting Requirements | All LLCs doing business in Michigan are required to file an Annual Statement each year by February 15. LLCs organized after September 30 need not file an Annual Statement until the second February 15 th after their formation |

LLC Tax Summary | Michigan does not levy a business income tax. However, it does collect a Single Business Tax on any business with adjusted gross receipts that exceed $250,000 in a tax year. LLCs are generally exempt from this tax. However, LLCs classified as corporations for federal tax purposes may be required to pay. |
