LLC Filing Fees To organize, an LLC must file Articles of Organization . To register, Foreign LLCs must file a Certificate of Authority Application. Articles of Organization and the Certificate of Authority Application must be accompanied by the First Annual Report. The fee schedule for the First Annual Report is
-$90 for LLCs with member contributions less than $50,000
-$150 for LLCs with member contributions from $50,000 – $100,000.
-$150 for LLCs with member contributions in excess of $100,000 plus $50 for each additional $1,000 of member contributions.
-the maximum filing fee is $16,000.
LLC Name Reservation Information and Fees South Dakota organizers may reserve an LLC name by filing an Application for Reservation of Name with the South Dakota Secretary of State accompanied by a $15 filing fee. The name reservation remains effective for 120 days.

Periodic LLC Reporting Requirements LLCs must file an Annual Report before the first day of the second month following the anniversary month of the LLCs initial filing.
