Corporation Filing Fees The fee for filing Articles of Incorporation is $150 for up to 8,000 authorized shares. The fee graduates upward for additional authorized shares.
Corporation Name Reservation Information and Fees Rhode Island incorporators may reserve a corporate name by filing an Application for Reservation of Entity Name with the Corporation Division accompanied by a $50 filing fee. The name reservation remains effective for 120 days.

Periodic Corporation Reporting Requirements Rhode Island corporations and qualified foreign corporations must file an annual report. Annual reports are not available on the Secretary of State’ s website, but can be requested by calling (401) 222-3040. The filing fee is $50.

Corporate Tax Summary Rhode Island corporations and qualified foreign corporations must pay an income tax. The tax rate is 9 percent of net income attributable to Rhode Island. In addition, Rhode Island corporations and qualified foreign corporations must pay a Franchise Tax of $2.50 for each $10,000 of authorized capital. Authorized capital is the total authorized shares multiplied by the shares’ par value. No par stock is valued at $100 per share. The minimum Franchise Tax is $250.
“S” Corporation Information Rhode Island recognizes the federal S corporation provision. The subchapter S election is automatic and no state specific forms need be filed to make the subchapter S election.
